Terms of Business

PAYMENT POLICY AND EXPENSES

Fees are exclusive of Value Added Tax (VAT) & expenses in the UK. No VAT is payable outside the UK.

 

Expenses

UK: Car journeys are claimed at fifty-five (55) pence per mile or face value of public transport costs. Venues &/or catering to be booked and paid for by the client.

 

International: expenses will attract home to venue to home charges such as airport transfers, flights, accommodation and meals. Please note that airports other than London Gatwick or Heathrow will incur additional charges such as an extra night of accommodation & accompanying expenses.

CHANGE ADVANTAGE INVOICES

To be paid in full and cleared in the Change Advantage bank account within thirty (30) days of the invoice date. Payments not cleared into this account by the due date will result in a charge of interest at 4% above The Bank of England base rate. We understand and will exercise our statutory right to claim interest and compensation for debt recovery costs under the late payment legislation if not paid according to these credit terms.

If the client fails to make payments as required by the terms laid out in these Terms of Business, go into liquidation or has a receivership administrator appointed Change Advantage shall have the right to cancel the agreement and discontinue work. All sums owing at that time will immediately become payable as a debt to Change Advantage.

 

When Change Advantage cancels for any reason beyond their control, Change Advantage will not be held responsible for any financial, indirect loss incurred including loss of business, profit, income, missed opportunity or any consequential loss by the client. It is the client’s responsibility to take out suitable insurance cover to protect its property and business interests.

PROFESSIONAL INDEMNITY INSURANCE POLICY

Change Advantage is covered by Westminster Insurance up to the limit of £1M.

INTELLECTUAL RIGHTS POLICY

All intellectual rights in products/services developed by Change Advantage will be the absolute property of Change Advantage unless specifically developed on behalf of and for the sole use of a specified client, when a different agreement may apply.

CANCELLATION POLICY

If Change Advantage cancels for any reason beyond their control, Change Advantage

will not be held responsible for any financial, indirect loss incurred including loss of business, profit, income, missed opportunity or any consequential loss by the client. It is the Client’s responsibility to take out suitable insurance cover to protect its property and business interests.

 

If the Client cancels, they will be liable for all consequential charges imposed on Change Advantage by a third party and the following proportion of the agreed fees still apply and are to be paid within thirty (30) days of the cancellation date as shown in the illustration below:

 

 

Every effort is made to accommodate mutual convenience for diary management. A maximum of two (2) postponements of a specific session is acceptable before a twenty percent (20%) charge for administration is liable for that specific session’s fees.

TERMINATION

Either the Client or the Coach may terminate this Agreement at any time with four weeks written notice. Client agrees to compensate the Coach for all coaching services rendered through and including the effective date of termination of the coaching relationship.

Although not required to do so by the UK Modern Slavery Act of 2015, Change Advantage Ltd will abide by this Act in taking action to identify, prevent, mitigate and enact due diligence in any aspects of modern slavery and/or human trafficking within its supply chain.

As an ICF Accredited provider, our organisation adheres to and emphasises the International Coaching Federation Code of Ethics. The ICF Code of Ethics describes the ICF core values, ethical principles, and standards of behaviour for all ICF professionals. Additionally, Change Advantage commits to acting with integrity and transparency. We hold ourselves and our participants to the highest level of integrity and strive to be as transparent as possible by explicitly stating measures being taken to provide coaching, facilitation, mentoring and training programmes in an ethical manner. We do not believe in using manipulative or dishonest sales tactics and strive to provide a safe and ethical sales process.
